    • Andrea Clare Unlimited (trading as Scottish ‘PAUSE Summit)
    • Our Site scottishpausesummit.co.uk is owned and operated by Andrea Clare Unlimited.
  2. Access to and Use of Our Site
    • Access to Our Site is free of charge.
    • It is your responsibility to make arrangements necessary to access Our Site.
    • Access to Our Site is provided “as is” and on an “as available” basis. We may alter, suspend or discontinue Our Site (or any part of it) at any time and without notice.  We will not be liable to you in any way if Our Site (or any part of it) is unavailable at any time and for any period.
  3. Ticket Sales Terms and Conditions
    • These Terms and Conditions apply to purchases made online via the SPS Site.
    • By using the SPS Site to purchase tickets you will provide us with certain personal and payment information. ACU respects your data, and your privacy is important to us.  For more information about how we use and protect data, and your rights please see our privacy policy.
  4. Definitions and interpretation
    • “Event” means an event to be held at a Venue in respect of which we have the right to sell you Tickets.
    • “ACU” “we” “us” means Andrea Clare Unlimited, a company incorporated in Scotland (Company Number TBC) with a Registered Office at TBC.
    • “SPS Site” means scottishpausesummit.co.uk 
    • “Tickets” means tickets or other types of evidence (including electronic tickets) for an Event sold by us to you for the right to attend an Event.
    • “Venue” means any facilities or locations of any nature where the Event is being held.
    • “You” means you or anybody who in Our reasonable opinion is acting with your authority or permission. “Your” shall be read accordingly.
  5. Contract and incorporation of terms
    • The online purchase of Tickets for Events is strictly subject to the following terms and conditions (Ticket Terms). By purchasing a Ticket, you agree to be bound by these Ticket Terms. You also agree to use your Ticket in accordance with these Ticket Terms.  Please read these Ticket Terms carefully before purchasing your Tickets.
    • By placing an order for Tickets through the SPS Site, you are making a request to book Tickets for the relevant Event subject to these Ticket Terms. Please note that this does not mean that your request has been accepted.
    • We will only be bound by an on-line booking through the SGPS Site once we have processed your payment and we have sent an email to you confirming your booking.
  6. Purchasing Tickets
    • Tickets may be purchased through the SPS Site using a credit or debit card approved by us.
    • Ticket prices relate to the Event you wish to attend. Tickets are sold at the price displayed on the SPS Site for the relevant Event. All prices and fees include any applicable value added tax. Please note we have a tiered pricing structure including Super Early Bird, Early Bird and Standard. We have limited availability of Early Bird (30 tickets) and ‘Pause Pals (30 tickets), with Early Bird launching first. We will close sales if/when the Early Bird sells through before launching  ‘Pause Pals. Thereafter we will launch the Standard Tickets (60).
    • Promotional vouchers or codes to book tickets through the SPS Site may be made available at SPS’ discretion. 
    • Tickets are subject to availability and are generally non-refundable. We are under no obligation to refund you or exchange your Ticket(s) in the event that you make any error when purchasing your Tickets through the SPS Site (including but not limited to selecting the wrong Event or the wrong number of Tickets), if you are excluded from attending the Event for any breach of these Ticket Terms, or if your Ticket is lost, stolen or damaged. However, we may, entirely at our discretion, refund you or exchange your Ticket(s) in any of the situations mentioned above or where there has been any customer service issue that we consider warrants a full or partial refund or other offer of goodwill from us. Refunds will be made to the same payment card used to make the booking.
    • Please notify us of any access requirements at the time of booking.
    • Seating is unallocated unless otherwise specified at the point of purchase.
    • Ownership or possession of a Ticket does not confer any rights (by implication or otherwise) on you to use, alter, copy or otherwise deal with any of the symbols, trademarks, logos and/or intellectual property appearing on the Ticket.
  7. Event Times
    • At all times, we will endeavour to ensure that advertised Event times are materially accurate. However, we cannot always guarantee the accuracy of the advertised Event times.
  8. Electronic Tickets
    • Tickets will be emailed to the email address provided at the time of booking. Your ticket should be printed for entry to the Venue and Event.   
  9. Cancelled/re-scheduled Events
    • It is your responsibility to ascertain whether an Event has been cancelled or re-scheduled and the date and time of any re-scheduled Event. Where an Event is cancelled or re-scheduled, we will use Our reasonable endeavours to notify You using the details You provided Us with at the time of ordering. We do not guarantee that You will be informed of such cancellation before the date of the Event.
    • It is Your responsibility to inform Us of any change to the contact address, telephone number or email address You provide Us with at the time of ordering.
  10. Refunds and Exchanges
    • Ticket(s) cannot be exchanged, cancelled or refunded after purchase unless the Event is cancelled or rescheduled (subject to clause 6) or where there is a material change to the Event. 
    • A material change to an Event is a change where in our reasonable opinion makes the Event materially different to the Event that purchasers of the Ticket, taken generally, could reasonably expect. 
    • If an Event is cancelled or its timing altered or is not as advertised, SPS will have the discretion to do either of the following:
      • refund to you the cost of Tickets already purchased; or
      • to issue replacement Tickets for an alternative Event, but we shall not be liable to reimburse you for any expenses or any other losses incurred (including but not limited to travelling costs and car parking costs).
    • Where an outdoor Event is cancelled or curtailed because of adverse weather, we shall not be liable to make any refund or pay any compensation.
    • These Ticket Terms do not and shall not affect your statutory rights as a consumer.  For further information about your statutory rights contact Citizens Advice. 
  11. Resale/use of Tickets
    • You may not re-sell or transfer a Ticket if prohibited by law.  You may not re-sell or transfer a Ticket if you are selling or transferring the Ticket in the course of business.  You are deemed to be selling or transferring in the course of business where we reasonably believe you to be doing so.
  12. Void Tickets
    • Any Ticket obtained in breach of these Ticket Terms shall be void and all, rights conferred or evidenced by such Ticket shall be void. Any person seeking to use such a void Ticket to gain or provide entry to an Event may be liable to be ejected and liable to legal action.
    • Void Tickets are non-refundable.
  13. Force Majeure
    • For the purposes of these Ticket Terms, “Force Majeure” means any cause beyond our control including, without limitation, act of God, war, insurrection, riot, civil disturbances, acts of terrorism, fire, explosion, flood, theft of essential equipment, malicious damage, strike, lock out, weather, third party injunction, national defence requirements, acts or regulations of national or local governments. We will not be liable to you for failure to perform any obligation under these Ticket Terms to the extent that the failure is caused by Force Majeure.
  14. Liability
    • Personal arrangements including travel, accommodation or hospitality relating to the Event which have been arranged by you are at your own risk.
    • Neither SPS nor the Venue will be responsible for any loss, theft or damage of your personal belongings. 
    • Nothing in these Ticket Terms affects your rights under the law or excludes or limits our liability for fraud or for death or personal injury resulting from our negligence. In all other circumstances, our liability to you shall be limited to the price paid for your Ticket.
  15. Your information 
    • We believe that purchasing Tickets through the SPS Site is safe. We use WordPress for all payments and SSL technology.  
    • When you purchase your Tickets through the SPS Site, we shall collect your information in accordance with our privacy policy.
  16. Contact Us
  17. General 
    • For the purposes of your contract to purchase any Tickets, such contract will be with SPS.
    • These Ticket Terms constitute the entire agreement between the parties in connection to, its subject matter and supersede any previous terms and conditions, agreement or arrangement between the parties.
    • Each of the parties agrees that it has not entered into these Ticket Terms in reliance on, and shall have no remedy in respect of, any statement, representation, covenant, warranty, undertaking or indemnity (whether negligently or innocently made) by any person (whether party to these Ticket Terms or not) other than as expressly set out in these Ticket Terms. Nothing in this clause shall operate to limit or exclude any liability for fraud.
    • SPS reserves the right to change these Ticket Terms at any time without notice. Such changes will be posted on the SPS Site.
    • If we delay or fail to enforce any of these Ticket Terms it shall not mean that we have waived our right to do so.
    • We may assign, transfer or deal in any other way with our rights and obligations under these Ticket Terms to any party at any time without notice to you. You may not assign such rights and obligations.
    • If any part of these Ticket Terms is unenforceable, invalid or illegal, the enforceability, validity or legality of any other part of the Terms will not be affected or impaired in any way.
    • These Ticket Terms are governed by Scots law, and you agree to submit to the exclusive jurisdiction of the Scottish courts.
